Terms of Service

Yuroma is a technology platform operated from Mexico ("Yuroma", "we"). By creating an account or using the platform you accept these Terms. If you do not agree, do not use the service.

The Spanish version of these Terms is the governing version; this English text is a courtesy translation. Contact: hola@yuroma.com.

1. What Yuroma is

Yuroma is a technology marketplace where businesses and creators (the "Sellers") can offer physical products, digital products, courses, and other formats expressly enabled for their account. An offer can be charged only when the Seller, product, country, and a compatible payment rail are verified. Yuroma is NOT the seller, processor, merchant of record, or owner of the Seller's product.

2. Seller–Buyer relationship

The sale takes place directly between the Seller and the Buyer. Yuroma provides technical integration, records, evidence, and communication; the Seller is responsible for the offer, charge, invoicing, delivery, support, warranty, and compliance. Yuroma does not receive or manage Seller principal. If a cart contains multiple Sellers, the system may split it into independent orders and charges while preserving a coordinated experience.

3. Responsibility for products

The Seller is SOLELY responsible for the products they offer: their legality, the accuracy of their description, their delivery, quality, buyer support and compliance with all applicable law. Yuroma does not create, review, approve or guarantee the products and is NOT responsible for them or for any damages arising from their purchase or use.

4. Commission and costs

Yuroma charges a base platform commission of 5% on the eligible product amount. Payment processing, taxes, currency conversion, shipping, and other external costs belong to the Seller and can vary. Optional advertising or promotion services have separate pricing and consent; they never silently alter the base 5%. The dashboard must show the breakdown before each service is enabled and does not promise a fixed net percentage.

5. Payments

Depending on country, currency, product, and connected accounts, a charge may be processed through Stripe Connect, PayPal, or Mercado Pago. Checkout displays only compatible, enabled rails. The charge is made on the Seller's commercial account or the provider's equivalent marketplace arrangement; Seller principal does NOT pass through Yuroma and the Seller is the merchant of record. Yuroma does not store full card data.

Each Seller accepts the terms, verification, fees, holds, chargebacks, and policies of the provider they connect. A processor may hold funds for validation or fraud prevention; Yuroma does not control or guarantee that process.

6. Taxes

Each Seller must comply with the tax obligations legally applicable to their sales and provide any authentic tax information required. Yuroma will comply with its own obligations as a platform or intermediary, including reporting, invoicing, tax-display, or withholding duties where applicable. Direct charges and the Seller's merchant-of-record status do not by themselves determine tax treatment.

Before a purchase is confirmed, checkout must show the total amount, currency, included or itemized taxes as applicable, shipping, and any other known charge. Nothing in these Terms replaces the tax determination applicable to a specific transaction.

7. Refunds and Seller policies

Each order shows the terms published by the Seller, without limiting any non-waivable rights granted by law. The Seller decides and processes refunds from their own payments account; Yuroma does not hold Seller principal or guarantee Seller performance.

When applicable and the payment processor confirms the refund, Yuroma returns only the applicable part of its own 5% commission; it never controls Seller principal.

IMPORTANT: Yuroma only returns its 5% commission. The remaining amount is refunded by the Seller from their own payments account, since they received the money. If a Buyer opens a dispute or chargeback, it is resolved directly between the Buyer and the Seller (or with the payment processor); Yuroma is not a party and does not guarantee it. Any related recruiter commission is adjusted only against Yuroma's own part of the 5%, never Seller principal.

8. Prohibited products and conduct

It is prohibited to sell illegal or fraudulent products, products that infringe third-party rights (intellectual property, likeness, etc.) or that violate Mexican law or the payment processor's policies. The use of bots, fraud in metrics or payments, and abuse of the affiliate or rewards programs are also prohibited. Yuroma may suspend or terminate non-compliant accounts, without prejudice to applicable legal action.

9. Affiliates

Yuroma does not operate a product-affiliate program. Historical fields, links and records remain inert and create no commission, balance, obligation or payment. Seller invitations are a separate program and may grant the recruiter a share of Yuroma's own commission under the published rules after the applicable maturation period, without touching Seller funds. Recruiters are responsible for their taxes and payment-processor verification.

10. Advertising and content rewards

Internal promotion is available only when Yuroma expressly enables the feature and the campaign passes the applicable eligibility, identity, charge-authorization, attribution, budget, anti-fraud, and legal-compliance gates. When enabled, a Seller may purchase it with explicit pricing, attribution, and caps; the advertising charge is Yuroma's own revenue for the promotion service and is recorded separately from the base marketplace commission. A campaign stops when it reaches its cap or lacks valid payment authorization; Yuroma grants no unlimited credit and does not guarantee impressions, clicks, or sales.

Content rewards are available only when Yuroma expressly enables the feature and the campaign, Seller, Creator, and commercial rail pass all applicable gates. When enabled, the Seller contracts directly with the Creator under the campaign terms and payment is processed through the Creator's commercial rail; Yuroma does not hold escrow or Creator principal. Yuroma receives 5% of that service charge as its platform fee. Metrics must be verifiable, fraud or undeclared paid traffic invalidates a claim, and an overdue obligation pauses new acceptances. The existence of a screen, record, or description of these features does not activate them or create a payment obligation.

11. Accounts

You must provide truthful information and keep your account secure. You are responsible for activity under your credentials. Yuroma may suspend accounts upon suspicion of fraud, abuse or breach of these Terms.

12. Indemnification

The Seller agrees to indemnify and hold harmless Yuroma, its owner and collaborators from any claim, demand, fine, penalty or expense (including reasonable legal fees) arising from: (i) products that infringe intellectual property, third-party rights or the law; (ii) fraud, money laundering or unlawful activities; (iii) the Seller's breach of these Terms or applicable law.

13. Intellectual property

Yuroma's brand, software and design are owned by their holder. Content and products published by Sellers belong to them; by using Yuroma, the Seller grants the technical licenses necessary to display and deliver their content through the platform.

14. Limitation of liability

The service is provided "as is" and "as available". Yuroma does not guarantee the service will be uninterrupted or error-free. To the extent permitted by law, Yuroma is not liable for indirect damages, lost profits, or the transactions, products or conduct of Sellers or Buyers.

15. Changes to these Terms

We may update these Terms. We will post the current version with its update date; continued use of the service implies acceptance of the changes.

16. Governing law and jurisdiction

These Terms are governed by the laws of the United Mexican States. Any dispute will be submitted to the competent courts in Mexico, waiving any other jurisdiction that may apply.

For consumers, the mandatory consumer-protection provisions prevail (Mexico's Federal Consumer Protection Law and PROFECO's jurisdiction); the Buyer does not waive those rights or the jurisdiction those laws grant them.
